Terms and Conditions. This sale is subject to the terms and conditions set forth below and on the face of a Puget Sound Instrument Invoice , which are in lieu of and replace any and all terms and conditions set forth in any documents issued by CUSTOMER, including, without limitation, purchase orders and specifications. ANY ADDITIONAL, DIFFERENT OR CONFLICTING TERMS AND CONDITIONS ON ANY SALE DOCUMENT ISSUED BY CUSTOMER AT ANY TIME ARE HEREBY OBJECTED TO BY psicompany.com, AND ANY SUCH DOCUMENT SHALL WHOLLY INAPPLICABLE TO ANY SALE MADE HEREUNDER AND SHALL NOT BE BINDING IN ANY WAY ON Puget Sound Instrument Company, Incorporated (hereafter referred to as) "psicompany.com". NO WAIVER OF OR AMENDMENT TO THESE TERMS AND CONDITIONS SHALL BE BINDING ON psicompany.com UNLESS MADE IN WRITING AND SIGNED BY psicompany.com. IN CASE OF CONFLICT BETWEEN THE TERMS AND CONDITIONS STATED BELOW AND THOSE ON THE FACE OF a Puget Sound Instrument Invoice. THOSE ON THE FACE OF a Puget Sound Instrument Invoice SHALL CONTROL. Export Restrictions Products sold to you by Puget Sound Instrument may not be deployed by, handled by or sold to anyone on the “List of Parties of Concern” as determined by the Bureau of Industry and Security of the United States. All payments are in US Dollars. Unless otherwise stated in the face of a Puget Sound Instrument Invoice, all payments shall be due upon receipt of a Puget Sound Instrument Invoice, and any prompt payment discount shall be allowed only with respect to payments received on or before the payment due date shown on the face of a Puget Sound Instrument Invoice. On any amount due hereunder which is not paid when due, Customer agrees to pay interest from and after due date until paid in full at the rate of 1.5% per month unless such rate is in excess of the maximum rate allowed by law , in which latter event Customer agrees to pay highest rate allowed by law. In addition , Customer agrees to pay all costs of collection of past due amounts, including costs of litigation and reasonable attorney's fees, regardless of whether a lawsuit is commenced. psicompany.com reserves a purchase money security interest in the products purchased by Customer pursuant to a Puget Sound Instrument Invoice and in the proceeds thereof , until payment is made in full by Customer, and a Puget Sound Instrument Invoice shall constitute a security agreement. Customer also agrees to execute financing statements and such other instruments as may be necessary to perfect psicompany.com's security interest at psicompany.com's request. Finally until full payment for the products covered by a Puget Sound Instrument Invoice has been made, the vessel and/or vehicle to which such products are attached shall be subject to a lien in favor of psicompany.com under 46 U.S.C.971.
Taxes
Stated prices do not include any customs duties, sales use, value added, excise, federal, state local or other similar taxes. All such taxes and duties shall be paid by Customer, or, in lieu thereof, Customer shall provide psicompany.com with an appropriate exemption certificate.
F.O.B. and Risk Loss:
Unless otherwise stated on the face of a Puget Sound Instrument Invoice, all shipments are F.O.B. psicompany.com's facility. psicompany.com's liability for delivery shall cease, and title and all risk of loss or damage shall pass to customer upon delivery to customer its agent or carrier. Returns and Adjustments:
No product may be returned by Customer for any reason without the prior approval of psicompany.com. All returns shall be delivered or shipped prepaid to psicompany.com's facility in the original packaging or equivalent, together with a dated proof of purchased (including Invoice) and a return authorization (RMA) number. The RMA number may be obtained from PSICOMPANY.COM's customer service department, (253-922-7890), and should be noted on the outside of the shipping container. Customer shall be responsible for all shipping charges and shall assume all risk of loss or damage in transit to the product returned to psicompany.com. Any product returned to psicompany.com without prior authorization for its return or proper packaging will be refused. All returned items are subject to a restocking charge of twenty-five percent (25%) of the Invoice value. Warranties:
SELLER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, except that psicompany.com agrees to honor any original equipment manufacturer's warranties provided with respect to the products which are described on the front of a Puget Sound Instrument Invoice, in particular, but without limitation, any warranty shall cover only defects arising under normal use and shall not include malfunctions or failure resulting from misuse, abuse, neglect, alteration, modification or improper installation by Customer, repairs by anyone other than psicompany.com, operating difficulties caused by electrical interference or ionospheric conditions, or adverse affects of moisture or climate. Further, any warranties provided with respect to the products sold pursuant to a Puget Sound Instrument Invoice are for the sole benefit of the Customer as initial end user and are non transferable.
Limitation of Liability:
IN NO EVENT SHALL psicompany.com BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES SUFFERED OR INCURRED BY CUSTOMER AS A CONSEQUENCE OF CUSTOMER'S PURCHASE OR USE OF THE PRODUCTS SOLD PURSUANT TO a Puget Sound Instrument Invoice.
Force Majeure:
psicompany.com shall not be liable for any delay in performance directly or indirectly caused by or resulting from acts of God, fire, flood, accident, riot, war, government intervention, embargoes, strikes, labor difficulties, equipment failure, late deliveries by suppliers or other difficulties which are beyond the control and without fault or negligence of psicompany.com. QUANTITIES ARE SUBJECT TO AVAILABILITY. In the event of product shortages, psicompany.com may allocate sales and deliveries at its sole discretion. Governing Law and Venue:
This agreement and its interpretation shall be governed by the laws of the State of Washington, and Customer agrees that any legal action brought to enforce or interpret the agreement shall be filled in Pierce County, Washington.
Entire Agreement:
These terms and conditions, including those on the face of a Puget Sound Instrument Invoice, constitute the entire agreement with regard to the sale provided for in a Puget Sound Instrument Invoice, and supersede and replace any prior or contemporaneous written or oral agreements between the parties hereto relating to said sale.
