PSI Electronics, LLC – Terms & Conditions of Use and Sale

1. Scope & Acceptance

These Terms govern all quotations, invoices, purchase orders, and online transactions with PSI. By engaging with us, you agree to be bound by these Terms. Any conflicting terms are invalid unless expressly agreed in writing by an authorized PSI officer.

2. Secure Transactions & Privacy

• PSI does not accept online payments. All payments are conducted securely over the phone by credit card, wire transfer, ACH, or in limited cases, PayPal.
• Personal data is handled per our Privacy Policy and applicable U.S. law.
• All transactions imply consent to U.S.-based data processing for order fulfillment and support.

3. E-mail Confidentiality

E-mails from @psicompany.com may contain confidential content intended solely for the recipient. If received in error, please notify the sender and delete the message. PSI uses email filtering and protection tools such as G Data Endpoint Security and Microsoft 365 Exchange Online Protection.

4. Payment Terms

• Currency: U.S. Dollars (USD).
• Standard payment terms: Net 0 – Payable on Receipt.
• Interest of 1.5% per month (18% APR) applies to past-due balances.
• Customer is liable for all collection costs, including reasonable attorney fees.
• PSI retains a purchase-money security interest until full payment is received and may file UCC-1 statements as needed.

5. Pricing & Taxes

All prices exclude applicable taxes and duties. Customers must pay these unless a valid exemption certificate is provided.

6. Delivery, Title & Risk of Loss

• Shipments are F.O.B. PSI Orting, WA (Incoterms 2020: Ex Works), unless otherwise noted.
• Risk and title transfer to the customer upon delivery to the carrier.
• Delivery timelines are estimates only; PSI is not responsible for external delays.

7. Export Compliance

All sales are subject to U.S. export laws (EAR, ITAR). Customers are responsible for compliance and any required licenses. Products may not be sold to restricted parties per BIS and OFAC guidelines.

8. Returns & RMAs

• Returns require an authorized RMA number issued by PSI.
• Items must be returned within 30 days of invoice in original packaging and prepaid.
• Non-defective returns may incur a 25% restocking fee.
• Risk of return shipment loss remains with the customer until received by PSI.

9. Warranties & Disclaimers

• Manufacturer warranties are passed through where permitted.
• PSI disclaims all other warranties, express or implied, including fitness for a particular purpose.
• Warranties exclude misuse, improper installation, or unauthorized repair damage.

10. Limitation of Liability

PSI shall not be liable for indirect, special, incidental, or consequential damages. Our liability is capped at the amount paid for the product giving rise to the claim.

11. Force Majeure

PSI is not liable for delays due to forces beyond our control, including but not limited to natural disasters, pandemics, supply chain disruptions, or government actions.

12. Governing Law & Venue

These Terms are governed by Washington State law. Any disputes must be brought in Pierce County, Washington. The U.N. CISG does not apply.

13. Severability & Waiver

If any provision is found unenforceable, the remaining terms remain valid. PSI's failure to enforce any right does not waive future enforcement.

14. Entire Agreement

These Terms, along with any PSI invoice or sales acknowledgment, represent the full agreement between PSI and the customer. No amendments are binding unless signed by an authorized PSI officer.
